INCORPORATION OF A LIMITED COMPANY IN SOUTH AFRICA

The most common company form in South Africa is the limited liability company (Limited), and the incorporation of a Limited usually takes around 7 working days, including:

 

  1. preparing the documents to be submitted to the Companies Registry for issuance of the Limited Certificate of Incorporation;
  2. issuance of the Certificate of Incorporation and Business Registration Certificate, one-stop by Companies Registry upon incorporation.

According to South African Company Law the Limited is allowed to carry out any lawful business activity with no need to disclose and describe the nature of the same in the official documents (i.e. memorandum and articles of association).

The Companies Law does not require a minimum amount of share capital for the Limited (for common practice the share capital of a Limited is equal to R.000).

COMPANY SECRETARIAL AND REGISTERED OFFICES

Company secretary services – mandatory for all companies incorporated in South Africa – comprise all the ordinary activities required to a South African company in accordance with the South African Companies Ordinance, such as:

  1. maintaining and updating of the statutory books of the Company;
  2. draft of directors resolutions in relation to ordinary matters such as:
    • approval of directors’ report and audited accounts and convening of annual general meeting;
    • changes to the board of director’s structure.
  3. drafting, submission and filing of particulars for ordinary matters to the Companies Registry;
  4. preparing and submitting the Annual Return to the Companies Registry.

The registered office’ services refer to the use of our office address as registered office address and to the transmission of the correspondence to the address indicated by the Client by way of fax, email, regular mail or courier express.
